Wholesale Terms & Conditions

These Terms govern the purchase of Wesden works at trade pricing (the “Program”), operated by 11 Photo, LLC. (“Wesden,” “we,” “us”), 2255 Glades Rd, Suite 122-A, Boca Raton, FL 33431. By applying to or buying through the Program, you (“Buyer,” “you”) agree to these Terms.
1. Who the Program is for
The Program has two account types.
- Trade. Architects, interior and landscape designers, home stagers, hospitality groups, corporate art consultants, and other professionals buying for a project of their own or of a client. Trade accounts buy for installation, not for resale as stock.
- Resale. Galleries, design stores, and online retailers buying Wesden works to resell.
To participate you must be at least 18 years old, hold a registered business or a legitimate professional practice, and provide accurate and complete information in your application.
We review every application individually and may approve or decline any application at our sole discretion, with or without stating a reason. We may also move an account between types if the buying pattern does not match the type applied for.
2. Pricing
- Your trade price list is issued by email on approval. It is confidential, is for your internal use only, and may not be published, forwarded, or shown to a client.
- Prices are quoted in US dollars and may change with 30 days’ written notice. A quote we have already issued is honored for 15 days.
- Resale accounts carry a minimum order value of US$1,500 per order, calculated on the product subtotal.
- Trade accounts have no minimum order value.
- Trade pricing applies only to orders placed through the Program. It does not apply retroactively to orders already placed at retail.
3. Editions and quantity limits
Every Wesden work is released in an edition of 75 worldwide, counted across all sizes and across every Wesden store. Program orders draw from that same edition.
- A single order is limited to 5 prints of any one work.
- Larger quantities of a specific work may be reserved for a named project by written agreement before the work is specified. Reservations are held for 30 days.
- Once an edition is sold out, the work is retired and will not be reprinted in any size.
- Each print ships numbered, with a signed Certificate of Authenticity issued by Wesden Studio.
4. Advertised price and parity
This section applies to Resale accounts.
- You agree to advertise, list, and sell Wesden works at or above the published retail price shown on wesden.us for the same work and size.
- This applies to your own storefront and to any marketplace, catalogue, feed, or third-party channel where you list the work.
- You may not list Wesden works on coupon, deal, cashback, flash-sale, or discount-aggregator platforms.
- You may not present Wesden works as open edition, unlimited, or reproduction prints, and you may not represent yourself as the publisher of the edition.
Breach of this section is grounds for immediate suspension of the account and cancellation of any unfulfilled order.
5. Orders, payment, and production
- Orders are placed by written request. We respond with a quote listing the works, sizes, quantities, price, and production schedule.
- An order is accepted when you confirm the quote in writing and payment clears. Payment is due in full before production begins. We do not offer payment terms.
- Payment is made through the secure link included with the quote.
- Every work is produced to order. Production takes approximately 7 to 10 business days from cleared payment, plus transit.
- An order cannot be cancelled or amended once production has begun.
6. Sales tax
Wesden collects Florida sales tax where required by law.
- Resale accounts claiming exemption must provide a valid Florida Annual Resale Certificate, or a valid resale or exemption certificate for the delivery state, before the first order.
- You are responsible for keeping that certificate current and for notifying us if it is revoked.
- Where no valid certificate is on file, applicable tax is added to the order.
- Trade accounts buying for installation are generally not exempt. You are responsible for determining and paying any tax due in your own jurisdiction.
7. Shipping, title, and risk
- Works ship unframed, rolled in a protective tube. Works of the same size in one order are consolidated where possible.
- Shipping within the United States is included. We ship within the United States only.
- Delivery dates are estimates. We are not liable for delays caused by the carrier or by events outside our control.
- Title and risk of loss pass to you when the works are handed to the carrier.
8. Damage and returns
- Works are produced to order as part of a limited edition. We do not accept returns or exchanges for change of mind, cancelled projects, or client rejection.
- If a work arrives damaged or defective, notify us at hello@wesden.us within 7 days of delivery, with photographs of the work and of the packaging.
- Once confirmed, we produce and ship a replacement at no cost. A replacement carries the same edition number as the work it replaces and does not consume an additional number from the edition.
- A refund is issued only where a replacement cannot be produced.
- Claims made after 7 days, or without photographs of the packaging, cannot be processed with the carrier and will not be honored.
9. Use of images and marks
We grant you a limited, non-exclusive, revocable, non-transferable licence to use the images, product information, and Wesden marks we supply, solely to present and sell Wesden works during the term of your account.
- You acquire no ownership. All rights in the photographs remain with Wesden Studio.
- You may not alter, crop, filter, re-edit, or apply your own marks to our photographs.
- You may not use our images to promote anything other than Wesden works.
- You may not register domains, social handles, or app names containing “Wesden.”
- You may not bid on “Wesden,” misspellings of it, or our work titles in paid search.
- You may not represent yourself as Wesden, as its employee or agent, or as the artist.
- The licence ends automatically when your account ends, and you must stop using the materials.
10. Relationship with the Partner Program
The Wesden Partner Program pays a referral commission on works your client buys directly from Wesden at retail. The two arrangements do not combine.
- A work bought through the Program at trade price earns no referral commission.
- Each project runs on one arrangement or the other, chosen before the order is placed.
11. Term, suspension, and termination
Either party may close the account at any time, for any reason, with written notice.
We may suspend or close an account immediately, and cancel any unfulfilled order, if we reasonably believe you have breached these Terms, misrepresented your business, engaged in fraud, or acted in a way that damages the brand.
Orders already produced and paid for are unaffected. On closure you must stop using our materials and marks.
12. Changes
We may update these Terms. Material changes are communicated by email to the address on your account and take effect 30 days after notice. Continued purchasing after that date means you accept the updated Terms.
13. Disclaimers and liability
The Program is provided “as is.” We make no guarantee of availability, of any particular work remaining in edition, or of any level of sales or resale value.
To the maximum extent permitted by law, our total liability arising out of the Program is limited to the value of the order giving rise to the claim.
14. Governing law
These Terms are governed by the laws of the State of Florida, without regard to its conflict of laws rules. Disputes will be resolved in the state or federal courts located in Miami-Dade County, Florida.
